1. Introduction

Welcome to Breakaway Top Ventures! These Terms of Service ("Terms") govern your access to and use of all Services provided by Breakaway Top Ventures LLC and its marketing division Breakaway Growth Operators ("BGO"), including but not limited to our CRM platforms (monthly, annual, promotional, and lifetime versions), Community Talk Weekly (CTW) program, website design and hosting services, video marketing packages, AI-assisted systems, usage-based messaging systems (SMS/Email/Phone/AI), and all digital products.

By accessing or using our Services, you agree to comply with and be bound by these Terms. Breakaway Top Ventures LLC reserves the right to update these Terms at any time. Continued use after changes constitutes acceptance.

2. Definitions

Services: CRM platforms, digital products, CTW subscriptions, websites, AI modules, SMS/Email/Phone usage systems, video packages, and all related software and consulting.

Usage Fees: Charges incurred from SMS, email, phone calls, AI interactions, workflow automations, and related messaging systems.

Wallet: Prepaid balance used to fund messaging and AI usage.

Client / User: Any individual or business accessing or purchasing any BGO product.

Services: The tools, technology, and business consulting services provided by Breakaway Top Ventures LLC, including but not limited to, business strategy development, marketing solutions, technology integration, and operational consulting.

 Content: Any information, data, text, software, or other materials made available through the Services.

 Customer Data: Any data, information, or content provided by you through the use of our Services.

3. Account Registration

To access certain features of our Services, you may be required to create an account. By creating an account, you agree to:

- Provide accurate and complete information.

- Maintain the confidentiality of your account credentials.

- Notify us immediately of any unauthorized use of your account.

4. Account Responsibility

You acknowledge full responsibility for:

All SMS, emails, calls, and AI-generated messages
Any workflows or triggers activated in your CRM
Ensuring that automations do not send unintended communications
Monitoring your usage wallet
BGO is not responsible for automations you create or enable.

5. License to Use Our Services

BGO grants you a limited, non-transferable license to use our Services, including CRM tiers, CTW, websites, and digital assets.

Breakaway Top Ventures LLC grants you a non-exclusive, non-transferable, revocable license to use our Services for your internal business purposes. This license does not permit:

- Reselling or sub-licensing  our Services.

- Reverse engineering or modifying the Services.

- Using the Services to compete with Breakaway Top Ventures LLC.

You agree to provide accurate information and maintain control of your credentials. You are responsible for all communications sent through your CRM, including messages generated by your workflows, automations, and AI tools.

6. Prohibited Use

You agree not to use messaging systems for spam, illegal communications, TCPA violations, or misuse of AI systems.

7. Unauthorized Access

You agree not to use the Services for any illegal or unauthorized purposes, including:

- Violating any applicable laws.

- Engaging in harmful conduct, such as spam or data mining.

- Distributing viruses or other harmful code.

You may not attempt to bypass, alter, or disrupt any part of the platform.

8. Intellectual Property

All BGO materials, designs, templates, trademarks, and systems remain our property.

All content, trademarks, logos, and intellectual property used within the Services are owned by Breakaway Top Ventures LLC or licensed to us. You may not copy, distribute, or modify any of this content without our written consent. Unauthorized use of intellectual property is strictly prohibited.

9. Confidentiality

You agree not to disclose any confidential information you receive from Breakaway Top Ventures LLC regarding our strategies, methods, or proprietary information. Likewise, we agree to keep any sensitive business information you provide confidential unless required by law.

10. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your data. You can review our Privacy Policy at https://breakawaygo.com/privacy-policy.

11. Payments 

You agree to pay for all Services, including:

CRM monthly, annual, or lifetime plans
CTW subscriptions
Website hosting & design

Video packages

Messaging and AI usage fees via wallet billing (required for all CRM users)

If you purchase any services from Breakaway Top Ventures LLC, you agree to pay all fees associated with your order, as described on our website or in a separate service agreement. Fees are non-refundable unless otherwise stated in a specific agreement.

Fees are non-refundable and are subject to change without notice. 

11.1 Usage Fee — Standard Wholesale Estimate this is the minimum we will charge. Charges are subject to change based on carrier and HL charges.

Usage fees are NOT included in any CRM package, CTW program, website plan, or video package or any package offered by Breakaway Top Ventures, LLC.

11.2 Wallet Billing Rules

Wallet charges are automatically billed to the payment method on file.

Wallet charges are non-refundable under any circumstances.

You are responsible for monitoring your wallet and usage in the billing section of the CRM.

Individual invoices will not be billed and usage charges are billed at time of use.

You can change your wallet balance and credit card at any time.

12. Service Availability

Breakaway Top Ventures LLC strives to keep the Services available 24/7. However, we are not responsible for any interruptions, delays, or unavailability of the Services caused by technical issues, maintenance, or events beyond our control.

13. Modifications to Services

Breakaway Top Ventures LLC reserves the right to modify or discontinue any aspect of the Services at any time without liability. We will make reasonable efforts to notify users of major changes.

14. Termination

We reserve the right to suspend or terminate your access to the Services at any time, for any reason, including but not limited to, violation of these Terms. Upon termination, your rights to use the Services will cease, and any outstanding fees will be due.

15. Limitation of Liability

To the fullest extent permitted by law, Breakaway Top Ventures LLC shall not be liable for any direct, indirect, incidental, or consequential damages arising out of your use of the Services. Our total liability under these Terms shall not exceed the total fees paid by you for the Services over the preceding twelve months.

16. Indemnification

You agree to indemnify and hold Breakaway Top Ventures LLC harmless from any claims, damages, or expenses (including attorneys’ fees) arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.

17. Warranty Disclaimer

You agree to indemnify and hold Breakaway Top Ventures LLC harmless from any claims, damages, or expenses (including attorneys’ fees) arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.

These Terms follow the laws of the State of Delaware.

20. Dispute Resolution

Any disputes arising out of these Terms will be resolved through courts of Hillsborough County of the state of Florida. All attorneys fees will be paid by both parties and the winning party will pay for other’s legal fees. 

21. Entire Agreement

These Terms constitute the entire agreement between you and Breakaway Top Ventures LLC regarding your use of the Services, and supersede any prior agreements or communications, whether written or oral.

22. Refund Policy 

Usage-based fees (SMS/Email/Phone/AI) are strictly non-refundable.

DFY CRM packages: 30-day money-back guarantee after onboarding; access continues at $400 /month if canceled. Details of the DFY packages are specifically spelled out in a separate detailed agreement signed by both parties. 

DIY CRM packages: Non - refundable 

Upon cancellation of DIY CRM, access is terminated and data is removed.

ANTI-DISPUTE, USAGE BILLING & WALLET ACKNOWLEDGMENT CLAUSE 

Client agrees NOT to initiate chargebacks or payment disputes for any usage-based fees, including SMS, email, phone, AI messages, or workflow-triggered sends.

Client acknowledges full responsibility for all usage generated by their CRM.

A chargeback constitutes breach of contract and results in immediate suspension of Services.

All disputes regarding usage must be submitted to BGO within 15 days; chargebacks filed outside this process are treated as fraudulent.

COMMUNITY TALK WEEKLY (CTW) PROGRAM AGREEMENT

Pricing

$895 one-time OR $85/month subscription

Refunds allowed within 72 hours only.
After 72 hours: non-refundable.

Includes:

CTW host system setup

Landing page

Workflow system

Advertising template system
Ability to recruit up to 10 businesses for postcards
Not Included:

Messaging usage fees, CRM usage fees, Postage for postcards, Advertiser payments,

Responsibilities, Clients must:

Secure their own advertisers, Deliver required media to Post Office
Maintain compliance with messaging rules

Cancellation

CTW is non-refundable after 72 hours. Monthly CTW can be canceled with 30 days’ notice.

CRM AGREEMENTS 

CRM Monthly / Annual Plans ($97/mo standard)

Includes:

CRM access Forms, pipelines, workflows as per promotional agreement at the time.

Excludes:

Usage fees (SMS/email/phone/AI)

Websites
Video packages

Lifetime CRM Deals

Price varies depending on promotion (e.g., $497–$997).
Terms remain identical to CRM agreements, regardless of promotional pricing.

Lifetime = lifetime of the product, not server hosting forever.

Usage fees still apply.

VIDEO PACKAGE AGREEMENT 

$500/month video marketing
CRM landing page: $97/month
Shorts: $25 each
90-day minimum
No refunds after production begins
Usage fees billed separately for any CRM under terms of CRM usage.

WEBSITE PACKAGE AGREEMENT 

$950 one-time build (7 pages)
Hosting: $50 or $400/month
Usage fees billed separately for CRM usage under terms of CRM usage.
Cancellation requires 30 days notice.

FINAL LEGAL SECTIONS

Ownership & Licensing

Upon final payment, the client owns custom content but not platform software.

Platform Independence

BGO may migrate systems; 60 days’ notice will be provided when possible.
